Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Reapt application and related services available at https://reapt.app (collectively, the “Service”), provided by Reapt, Inc. (“Reapt,” “we,” “us,” or “our”), a Delaware corporation.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Reapt is an AI-powered expense management service. The Service scans your authorized email and calendar accounts, processes uploaded documents, and uses artificial intelligence to identify, extract, categorize, and report business expenses. The Service may also communicate with you via SMS text messages for expense notifications, classification confirmations, and onboarding.

The Service connects to third-party platforms (including Google and Microsoft) through their official APIs with your explicit authorization. Reapt accesses your data on a read-only basis and does not modify, delete, or send content through your connected accounts.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately at support@reapt.app if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Authorized Access to Third-Party Services

4.1 OAuth Authorization

The Service uses OAuth 2.0 to request access to your Google and Microsoft accounts. You will be presented with a clear consent screen describing the specific permissions requested before granting access. You may revoke access at any time through the Service settings or directly through your Google or Microsoft account settings.

4.2 Scope of Access

We request only the minimum permissions necessary to provide the Service:

  • Google: Read-only access to Gmail messages and metadata; read-only access to Google Calendar events.
  • Microsoft: Read-only access to Outlook email (Mail.Read); read-only access to calendar events (Calendars.Read).

We do not request write, send, or delete permissions for any connected account.

4.3 Third-Party Terms

Your use of Google and Microsoft services remains subject to their respective terms of service and privacy policies. Our access to your data through their APIs is also subject to their developer policies, including the Google API Services User Data Policy.

5. SMS Text Messaging

5.1 Consent to Receive SMS

By providing your mobile phone number during account registration or onboarding and opting in to receive text messages, you consent to receive SMS messages from Reapt related to the Service. You agree that such consent is not a condition of purchasing any goods or services. You represent that the phone number you provide is your own and that you are authorized to receive text messages at that number.

5.2 Types of Messages

Reapt sends only service-related messages, including expense classification confirmations, trip grouping summaries, expense report notifications, and onboarding instructions. Reapt does not send marketing, promotional, or advertising messages via SMS.

5.3 Message Frequency

Message frequency varies based on your account activity. You may receive up to approximately 10 messages per week.

5.4 Message and Data Rates

Message and data rates may apply to any SMS messages sent or received. You are responsible for any charges from your mobile carrier. Reapt is not responsible for charges incurred from your carrier.

5.5 Opting Out

You may opt out of SMS messages at any time by replying STOP to any message from Reapt. You will receive a single confirmation message after opting out. You may also opt out by contacting support@reapt.app or through your account settings. Opting out of SMS does not terminate your Reapt account or affect other features of the Service.

5.6 Help

For assistance with SMS messages, reply HELP to any message from Reapt, or contact support@reapt.app.

5.7 Carrier Disclaimer

Reapt SMS messages are delivered through third-party carriers and messaging providers. Neither Reapt nor any mobile carrier is liable for delayed or undelivered messages. Delivery of messages is subject to effective transmission by your mobile carrier.

5.8 Changes to SMS Terms

We may modify SMS message frequency, content types, or delivery methods. Material changes will be communicated via SMS or through the Service.

6. Your Data

6.1 Ownership

You retain all rights to your data. By using the Service, you grant Reapt a limited, non-exclusive license to access, process, and store your data solely as necessary to provide and improve the Service.

6.2 AI Processing

The Service uses artificial intelligence to process your data for expense identification and categorization. AI-generated outputs (such as expense categories, tax classifications, and report summaries) are provided as informational aids and do not constitute financial, tax, or legal advice. You are responsible for reviewing and verifying all outputs before relying on them.

6.3 Data Handling

Our collection, use, and sharing of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to the Service, other accounts, or connected systems.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to transmit malware, spam, or other harmful content.
  • Resell, sublicense, or redistribute the Service without our prior written consent.
  • Use the Service in a manner that could damage, disable, or impair the Service or interfere with other users.
  • Submit fraudulent, falsified, or misleading data to the Service.

8. Intellectual Property

The Service, including its software, design, documentation, and branding, is owned by Reapt, Inc. and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

Your feedback, suggestions, or improvement ideas submitted to us may be used by Reapt without obligation or compensation to you.

9. Subscription and Payment

9.1 Plans and Pricing

The Service may be offered under free and paid subscription plans. Features, limits, and pricing for each plan are described on our website and may change from time to time. We will provide at least 30 days’ notice before any price increase affecting your current plan.

9.2 Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). Payments are processed through third-party payment processors and are subject to their terms.

9.3 Cancellation and Refunds

You may cancel your subscription at any time through the Service settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by law.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure.
  • AI-generated expense categorizations, tax classifications, or reports will be accurate or complete.
  • The Service will meet your specific requirements.

The Service does not provide financial, tax, or legal advice. You should consult qualified professionals for financial and tax matters. You are solely responsible for your tax filings and financial reporting.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REAPT, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless Reapt, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time for cause, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections 8, 10, 11, 12, and 15 survive termination.

You may terminate your account at any time by contacting support@reapt.app or through the Service settings. Upon termination, we will delete your data in accordance with our Privacy Policy.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, for significant changes, by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware. You consent to the personal jurisdiction of these courts.

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Reapt regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force.
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
